Clippy Terms of Service

1. Definitions

Unless otherwise defined in these Clippy Terms of Services (“these Terms”), capitalized terms used throughout these Terms have the same meanings as stated in the Celsys Terms of Service (https://www.celsys.com/en/information/celsys_terms/).

  • (1)CLIPPY （CP）
    A type of point issued by Celsys or designated third parties for the purpose of promoting the use of the Services. “Clippy” refers to both Clippy tickets and Clippy tokens.
  • (2)Clippy tickets
    Clippy tickets are given for materials posted to the Site, and the Clippy tickets are stored with each material.
  • (3)Clippy tokens
    Clippy tokens are given to Clip Studio account users for activities on the Services, or by Celsys or designated third parties as part of services or promotions.

2. Using Clippy

  1. Clip Studio account holders shall agree to these Terms and use Clippy according to the stipulations of these Terms. In the event of a contradiction between these Terms and the Celsys Terms of Service or other terms, these Terms shall be prioritized for matters concerning Clippy.
  2. Clip Studio account users can check their Clippy token balance from the Clip Studio account page. Clip Studio account users shall use and manage Clippy at their own risk and shall bear all responsibility for their actions and results of using Clippy.
  3. Clippy tickets and Clippy tokens have different uses and terms of use. Clip Studio account holders shall agree to these terms defined elsewhere by Celsys and use Clippy according to the stipulations of these terms.
  4. Clippy tickets can be exchanged for rewards specified by Celsys when a certain number of tickets are accumulated by a material.
  5. Clippy tickets can be converted to Clippy tokens at any time using the designated process. However, Clippy tokens cannot be converted to Clippy tickets. If Clippy tickets are converted to Clippy tokens, they cannot be reverted to Clippy tickets.
  6. Clippy tokens can be used for purposes other than exchanging for rewards specified in the above paragraph 4, such as using and viewing content.

3. Term of Validity

  1. Clippy expires 6 months from the acquisition date. Unused Clippy will automatically expire at the end of this period. However, if the Clip Studio account user is subscribed to an annual/monthly plan or has GOLD membership as defined in the Terms of Annual/Monthly Plans (https://ec.clip-studio.com/en-us/information/terms/detail) or GOLD Membership Terms of Service (https://accounts.clip-studio.com/terms/gold-membership?ui_locales=en-us), Clippy will not expire regardless of expiration date. If the user ceases to be an annual/monthly plan subscriber and ceases their GOLD membership, then any unused Clippy that did not expire due to the benefit of being subscribed to an annual/monthly plan or having GOLD membership will expire at the end of the month in which the user ceases their plan and GOLD membership.
  2. Clippy tickets will be automatically converted to Clippy tokens one year from the date they are earned. The term of validity of these Clippy tokens will be as specified in the above paragraph 1. In the event that the Clip Studio account user is an annual/monthly plan user or a GOLD Member, Clippy tickets will not be converted to Clippy tokens one year after they are earned. If a Clip Studio account user has any Clippy tickets that have exceeded their original term of validity when they cease being an annual/monthly plan user and a GOLD Member, these Clippy tickets will be converted to Clippy tokens at the end of the month when the user’s annual/monthly plan and GOLD Membership ends. The term of validity of these Clippy tokens will be as specified in the above paragraph 1.
  3. Clippy will be used in order from the earliest expiration date.
  4. If a Clip Studio account user loses a Clip Studio account due to account deletion or any other reason, any unused Clippy tokens or tickets held by the account user will be lost.

4. Limitations

  1. Clip Studio account users cannot cancel or change their use of Clippy under any circumstances, unless otherwise specified in these Terms or other terms.
  2. Celsys will not reissue Clippy unless otherwise specified in these Terms.

5. Prohibited Actions

Clip Studio account users must not engage in behavior described in the items below, behavior suspected to fit into those categories, behavior equivalent to the items below or behavior that aids the behavior described below when using Clippy or engaging in related activities.

  • (1)Allowing other Clip Studio account users to use their Clippy, lending Clippy to other Clip Studio account users, providing Clippy as collateral or other transfer or sale of Clippy by methods other than those stipulated in these Terms or other terms.
  • (2) Behavior that violates laws, ordinances, public order, the Celsys Terms of Service, these Terms, or other terms.
  • (3) Use of Clippy for unauthorized or inappropriate purposes, or other purposes not intended by Celsys.
  • (4) Behavior that impedes Celsys operation of Clippy.
  • (5) Any other conduct deemed inappropriate by Celsys.

6. Deletion of Clippy

  1. If a Clip Studio account user is judged by Celsys to have acquired Clippy by unauthorized or inappropriate means or it is judged that the Clip Studio account user should not be given Clippy, Celsys may take measures without warning, such as canceling Clippy given to the Clip Studio account user, banning the Clip Studio account user from acquiring new Clippy or using any of their current unused Clippy or terminating their account. Celsys accepts no responsibility for damages caused to the Clip Studio account user as a result of application of this article.
  2. In the event that a Clip Studio account user has received rewards defined in Article 2, paragraph 4 of these Terms using Clippy judged to be acquired by inappropriate means as stipulated in the above paragraph 1, the Clip Studio account user will be obliged to return such reward if there is a request from Celsys.
  3. If a Clip Studio account user's account is terminated according to the above paragraph 1, the Celsys Terms of Service, these Terms, or other terms, all of the Clip Studio account user's Clippy will be erased. Clip Studio account users accept that they may lose all of their Clippy even if their account is not terminated according to paragraph 1.
  4. If a Clip Studio account user knowingly accepts Clippy from a Clip Studio account user judged by Celsys to have acquired Clippy by unauthorized or inappropriate means or it is judged that the Clip Studio account user should not be given Clippy, the terms of the above paragraphs 1, 2, and 3 shall be applied to that Clip Studio account user.

7. Limitations of Liability

Celsys shall compensate Clip Studio account users who lose or suffer damage to their Clippy through reasons attributable to Celsys, by reissuing the lost Clippy or replacing the damaged Clippy. Celsys shall not be liable for further damages in any case.However, this shall not apply in the case of intentional damages or gross negligence by Celsys.

8. Changes to these Terms

  1. Celsys may change these Terms at its discretion. The changed Terms shall be effective immediately from being displayed on the Service. Clip Studio account holders shall accept the changed Terms shown on the Service before using the Service.
  2. Celsys shall establish a period in advance, and shall notify Clip Studio account users in advance by email and on the Service of the purpose of the changes to the Terms, the content of the changes, and the effective date of the changed terms.
  3. Celsys does not accept any responsibility for damages incurred to the user due to changes to these Terms. However, this shall not apply in the case of intentional damages or gross negligence by Celsys.
